These Terms and Conditions ("Terms") govern your access to and use of the SEORank.club website and any related services provided by “11183559 Canada Inc.” O/A SEORank.club ("we," "us," or "our"). By accessing or using the Platform, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, please do not use the Platform.

b). “Client” means the person and/or company and/or business engaging these Services

Attempting to interfere with or disrupt the Platform, servers, or networks.

Reverse engineering, decompiling, or disassembling the Platform.

Services Provided

SEORank.club provides tools and services to assist with search engine optimization (SEO) and related activities. We do not guarantee any specific results or improvements in search engine rankings. Your use of the Platform is at your own risk, and you acknowledge that results may vary.

Payment and Fees

Subscription Plans: SEORank.club offers its services under subscription plans. By subscribing, you agree to pay the applicable fees as described on our website. Fees are non-refundable, except as required by law.

Billing: Payment is due at the start of each billing cycle. If payment is not received, we reserve the right to suspend or terminate your access to the Platform.

Intellectual Property

Ownership: The Platform, including its content, features, and functionality, is owned by “11183559 Canada Inc.” O/A SEORank.club and is protected by copyright, trademark, and other intellectual property laws.

License: “11183559 Canada Inc.” O/A SEORank.club grants you a limited, non-exclusive, non-transferable license to access and use the Platform for your personal or business use in accordance with these Terms.

Third-Party Links

The Platform may contain links to third-party websites or services that are not owned or controlled by “11183559 Canada Inc.” O/A SEORank.club We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that “11183559 Canada Inc.” O/A SEORank.club shall not be liable for any damages or losses caused by or in connection with your use of any third-party content.

Managed SEO

If signed up for our Managed SEO subscription plan, “11183559 Canada Inc.” O/A SEORank.club agrees to provide SEO services as outlined in the individual subscription level.

The Company requires access to the website’s CMS, cPanel, FTP, and hosting accounts to provide comprehensive Managed SEO service.

The Company reserves the right to conduct SEO services in line with the Company’s own best practices.

“11183559 Canada Inc.” O/A SEORank.club reserves the right to publish website content as deemed necessary within the SEO campaign parameters.

The Company requires payment information, held on file, to charge the Client at the commencement of each month for their SEO services. Payment is required in advance across all SEO services conducted by the Company.

The Company requires a 30-day written notice of Cancellation of Services.

The Client acknowledges that “11183559 Canada Inc.” O/A SEORank.club may engage the services of third-party contractors to fulfill certain services.

Disclaimer of Warranties

The Platform is provided on an "as-is" and "as available" basis. “11183559 Canada Inc.” O/A SEORank.club makes no representations or warranties of any kind, express or implied, regarding the Platform, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure.

Limitation of Liability

To the fullest extent permitted by law, “11183559 Canada Inc.” O/A SEORank.club shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Platform, (ii) any unauthorized access to or use of our servers and/or any personal information stored therein, (iii) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Platform by any third party, or (iv) any errors or omissions in any content or for any loss or damage of any kind incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available via the Platform.

Indemnification

You agree to defend, indemnify, and hold harmless “11183559 Canada Inc.” O/A SEORank.club and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (i) your access to or use of the Platform, (ii) your violation of these Terms, or (iii) your violation of any rights of another.

Termination

We reserve the right to terminate or suspend your access to the Platform at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason in our sole discretion.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Toronto, Ontario, and the parties hereby consent to the personal jurisdiction and venue therein.
